1. About these terms

These Terms of Service (“Terms”) govern your use of the Kodetra website at kodetra.com and the engagements you enter into with Kodetra Technologies Pvt. Ltd. (“Kodetra,” “we,” “us”). By using this site or engaging our services, you agree to these Terms.

These Terms do not govern our products — QuickAutoReply, Linq List, ContentBuffer, Codebrinery, WatchLayer — each of which has its own separate Terms of Service on its own site.

2. Who we are

Kodetra Technologies Pvt. Ltd. is a private limited company incorporated under the Companies Act 2013 in India.

3. Services

We provide professional engineering services, including:

• AI agentic workflow development
• Custom AI and SaaS product development
• Model Context Protocol (MCP) server development
• Social media and content automation pipeline development
• Related consulting and advisory services

Each engagement is governed by a separate written scope of work (“SOW”) or master services agreement (“MSA”) entered into between Kodetra and the client. These Terms govern the relationship only to the extent that a specific SOW does not; if there's a conflict, the SOW takes precedence.

4. Engagement process

Typical engagement flow:

1. You submit an inquiry through our contact form or email.
2. We schedule a discovery call, usually 45 minutes.
3. If there's a fit, we prepare a written scope with architecture, milestones, timeline, and price.
4. You review, negotiate if needed, and sign.
5. We begin work per the SOW.

Nothing on this website constitutes an offer, and we do not enter into engagements by email alone — a written SOW signed by both parties is required.

5. Pricing and payment

• Fees are set in each SOW, either as a fixed price or at an agreed time-and-materials rate.
• GST is charged at applicable rates: 18% for domestic (Indian) clients; 0% for export of services accompanied by Letter of Undertaking (LUT).
• Invoicing is typically milestone-based or monthly, as specified in the SOW.
• Payment terms default to Net 15 from invoice date unless the SOW specifies otherwise. Overdue invoices accrue interest at 1.5% per month.
• Currency — invoices to Indian clients are in INR; invoices to international clients are in USD unless otherwise agreed.

6. Intellectual property

Unless the SOW specifies otherwise:

• Work product (code, documentation, specifications created under the engagement) — on full payment of fees, transferred to the client.
• Pre-existing IP— code libraries, frameworks, internal tools, and know-how that Kodetra brings to the engagement remain Kodetra's property. We grant the client a perpetual, non-exclusive license to use pre-existing IP as embedded in the work product.
• Open-source components — we use open-source software in our work. The client agrees that open-source components remain subject to their respective licenses.
• Kodetra branding — you may reference us as a vendor or partner but may not use our name or logo for promotional purposes without written consent.

7. Confidentiality

Both parties agree to keep confidential any non-public information disclosed during an engagement, including source code, business plans, customer data, and trade secrets. This obligation survives termination of the engagement for three years.

We're happy to sign standalone NDAs where clients prefer that structure.

8. Warranties and limitations

• Services warranty — we warrant that services will be performed in a professional manner by qualified personnel. We do not warrant any specific outcome, metric, or business result.
• AI systems disclaimer — AI components (LLM integrations, agentic workflows) are probabilistic by nature. We test them extensively but do not guarantee deterministic behavior or specific accuracy thresholds unless quantified in the SOW.
• No warranty of third-party services — engagements often integrate with third-party APIs (OpenAI, Anthropic, X, LinkedIn, etc.). We have no control over those services and do not warrant their availability, pricing, or behavior.
• Limitation of liability — liability cap to be specified per engagement, typically aligned with fees paid in the 12 months preceding a claim. Consequential, indirect, incidental, and punitive damages are excluded to the extent permitted by law.

9. Termination

• Either party may terminate an engagement for convenience on 30 days' written notice, with pro-rated payment for work completed.
• Either party may terminate immediately for material breach not cured within 15 days of written notice.
• On termination, we deliver all work completed to date in a reasonably usable form.

10. Acceptable use of this website

By using kodetra.com, you agree not to:

• Scrape, crawl, or programmatically download content at a rate that would interfere with site availability.
• Submit contact or partnership forms with fraudulent, misleading, or abusive content.
• Attempt to access restricted areas of the site, including the admin portal, without authorization.
• Use automated tools to generate form submissions.
• Reverse engineer, decompile, or attempt to extract source code from the site or from any product we make available.

11. User-submitted content

When you submit content through our forms (inquiry descriptions, partnership proposals, etc.), you:

• Represent that you have the right to submit it and that it doesn't violate anyone's rights.
• Grant us a limited license to process, store, and respond to it for the purposes described in the Privacy Policy.
• Retain ownership of the content.

12. Governing law and jurisdiction

These Terms are governed by the laws of the Republic of India. Disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Panipat, Haryana.

We encourage good-faith negotiation before resorting to formal dispute resolution. Optional arbitration clauses may be added in specific SOWs.

13. Changes to these terms

We may update these Terms from time to time. Material changes will be notified via email to active clients and via an in-page banner on the site for 30 days. Continued use of the site or engagement of services after the effective date constitutes acceptance.
